ACCEPTANCE OF THE TERMS

CONTROLLING TERMS

You expressly agrees that our Invoice and these Terms and Conditions of Sale represent the complete agreement of the parties with respect to the sale of the product(s) listed on the Invoice and no different or additional terms or conditions in your purchase order or in any other prior or subsequent communications in any way adding to, modifying or otherwise changing these Terms and Conditions of Sale shall be binding upon us.

ACCOUNT & REGISTRATION OBLIGATIONS

You have to register and login for placing orders on the website/application. You have to keep your account and registration details current and correct for communications related to your purchases from the site.

PRODUCT DISPLAY AND PRICES

• We have made every effort to display the look and color of our products that appear on the Website/application as accurately as possible. However, as the actual colors you see will depend on your monitor, we cannot guarantee that your monitor's display of any color will be accurate.
• All Products listed on the Platform will be sold at MRP unless otherwise specified. The final price charged to you by the us may change at the time of delivery. In the event of a conflict between price on our Platform and price charged by the us, the price charged by the us shall be deemed to be the correct price except Delivery Charge. In case the prices are higher or lower on the date of delivery, additional charges will be collected as the case may be at the time of the delivery of the order.

ACCEPTANCE OF ORDERS

We may accept your order and shall be bound to supply the applicable Goods in accordance with these terms and conditions by acceptable electronic transmission.

DELIVERY

All delivery dates and time are estimates. We use our reasonable efforts to deliver all Product within the time specified; however, in no case shall we be liable for any expense, loss or damage whatsoever suffered by you as a result of the our failure to deliver Product by the specified date and time. You may be charged a delivery fee for delivery of your order by the Delivery Partner as the Delivery Partner (“Delivery Charges"). You agree that we are authorized to collect, on behalf of the Delivery Partner the Delivery Charges. The Delivery Charges may vary from order to order, which may be determined on multiple factors which shall include but not be limited to order value, distance, demand during peak hours. We will use reasonable efforts to inform you of the Delivery Charges that may apply to you, provided you will be responsible for Delivery Charges incurred for your order regardless of your awareness of such Delivery Charges.

PAYMENT

• The total price for item or items that ordered, including the Delivery Charges and other charges, will be displayed on the Platform when you place your order, which may be rounded up to the nearest amount. You shall make full payment towards such items ordered as per your choice of payment (online payments or Cash on Delivery) through integrated third party payment gateway.
• You are responsible for any tax or governmental charge imposed upon the sale or transfer of any product. Any such tax or governmental charge will be added to the total invoice amount.

CANCELLATION TERMS & POLICY

• Any order placed and accepted by us may not be canceled by you. In the even that you do not accept order on delivery, you shall be liable to pay the liquidated damages of an amount equivalent to the Order Value. You hereby authorize us to deduct or collect the amount payable as liquidated damages through such means as we may determine in our discretion, including without limitation, by deducting such amount from any payment made towards your next Order
• In the event You have provided incorrect particulars, e.g., contact number, delivery address etc., or that You were unresponsive, not reachable or unavailable for fulfillment of the services offered to You, You will not be eligible for any refunds and credit note.
• You shall not be entitled to a refund or credit note in case instructions placed along with the Order are not followed in the form and manner You had intended. Instructions are followed by the us on a best-efforts basis.
• We may cancel all or any part of this order and will provide you credit note accordingly.

INDEMNIFICATION

You shall indemnify, defend and hold harmless us including affiliates and related companies and its officers, directors, employees, shareholders, contractors and agents, from and against any and all claims, losses(including person loss), liability, damages and expenses (including, without limitation, attorneys' fees and costs) incurred by you or others against any claims arising from, related to or in any way connected with or alleged to arise from or out of

• any asserted deficiencies or defects in Product
• Your gross negligence, fraudulent misrepresentation or willful misconduct.

GOVERNING LAW & JURISDICTION.

This Agreement shall be governed by and construed in accordance with the laws of the India without regard to its conflicts of laws provisions and each of the Parties shall be in subject to personal jurisdiction in Indore.
